Welcome to Skemio ("we," "our," or "us"). By accessing or using our website, services, and AI-powered diagramming tools (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

1. Description of Service

Skemio is an AI-powered diagramming platform that allows users to generate, edit, and export technical diagrams using natural language descriptions, sketches, or images. The Service uses a credit-based system with free credits on signup and optional pay-what-you-want credit purchases.

2. Accounts and Registration

To access certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security of your password and accept all risks of unauthorized access to your account.
  • Notify us immediately if you discover or suspect any security breaches related to the Service.

3. Credits and Payments

3.1 Credit System

Skemio uses a credit-based system. You receive free credits upon account creation and bonus credits each time you log in. Different operations consume different amounts of credits (e.g., shape-based diagrams, AI-generated visuals, SVG editing). Current credit costs are displayed in the application.

3.2 Purchasing Credits

You may purchase additional credits through our "Pay What You Want" pricing model. Payments are one-time charges processed by Dodo Payments. The number of credits you receive is based on the amount you choose to pay, plus any applicable bonus credits for higher tiers.

3.3 No Refunds

All credit purchases are final and non-refundable. Credits are valid for the duration specified at the time of purchase. By completing a purchase, you acknowledge and agree that you will not be entitled to a refund for any unused credits.

3.4 Credit Expiry

Credits are valid for the duration associated with your purchase tier. We reserve the right to modify credit pricing and bonus structures with reasonable notice.

4. AI-Generated Content

4.1 Nature of AI

Skemio uses artificial intelligence to generate diagrams. You acknowledge that:

  • AI models may produce inaccurate, incomplete, or offensive results.
  • You are responsible for verifying the accuracy of any generated diagrams before using them in professional or critical environments.
  • We do not guarantee that AI-generated content will meet your specific requirements.

4.2 Ownership

You own the diagrams you create. Skemio assigns to you all its right, title, and interest in and to the output generated by the Service based on your inputs, to the extent permitted by law. Skemio retains ownership of the underlying software, algorithms, and pre-existing intellectual property.

5. User Conduct

You agree not to use the Service to:

  • Generate content that is unlawful, harmful, threatening, abusive, harassment, defamatory, vulgar, obscene, or invasive of another's privacy.
  • Infringe upon the intellectual property rights of others.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Use the Service to build a competitive product.

6. Intellectual Property Rights

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Skemio and its licensors. The Service is protected by copyright, trademark, and other laws.

7. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

8. Limitation of Liability

In no event shall Skemio, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

9. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law provisions.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
